The American Fraternal Union (AFU) and Catholic United Financial (Catholic United), both fraternal benefit societies domiciled in Minnesota, have entered into an agreement to merge, with Catholic United as the surviving society. The agreement has been approved by the supreme governing bodies of both societies. AFU and Catholic United have worked closely with the Minnesota Department of Commerce, the domestic insurance regulator of both societies, during this merger. The Department of Commerce has been supportive of AFU's initiative to seek a merger candidate and has welcomed AFU merging with a strong and well-respected fraternal. Consistent with the Minnesota Department of Commerce's wishes, the societies have submitted documents for approval of their transaction and are anticipating a prompt approval so that the societies can close this transaction quickly, targeting an effective date of October 1, 2011. Upon the closing, the certificates of AFU's members will have the benefit of being a member of a fraternal benefit society with over $27 million in policyholder surplus on a consolidated basis. |
